Requests for Proposals from customers at a software or technology company are usually driven by business people, not the in house attorney. The documents are usually completed by the sales person.
Generally, in requests for proposals, the technology company should attach its standard agreement. If the company takes the customer’s agreement, it must have legal review the document to redline and conform it to the company’s standard agreement. For instance, if a company does not usually do perpetual licenses, it may change the contract to a term such as 3 years to make the model analogous to a lease.
The sales person involved also gathers financial statements and tax ID number information from the finance staff. If it is a public company, the Form 10K already answers many of the questions asked such as any litigation involvements. The Form 10K is found on the SEC web site.
