When winding up a California nonprofit religious corporation, a directors’ resolution regarding the election to wind up and dissolve should be prepared.  The resolution indicates that the board of directors determined it be the best interest of the corporation to dissolve and wind up.

The board authorizes to commence voluntary dissolution pursuant to California Corporations Code Section 9680.  The grounds for voluntary dissolution such as no shares have  been issued, corporation has no members, are indicated in the resolution.

The board resolves that the corporation elects to voluntarily wind up and dissolve, and that its business be wound up in the manner provided by law. 

The officers of the corporation are authorized to file with the Secretary of State upon the corporation’s behalf, a certificate of election to wind up and dissolve.
