On January 9, 2007, Wilson Sonsini Goodrich & Rosati, PC gave a talk in Palo Alto, CA on new Securities and Exchange Commission (SEC) rules relating to the compensation discussion and analysis section in a proxy statement, and tips for preparing Form 10-Qs.

In order to maintain a timely proxy statement filing, speakers advised to send the draft document to the company’s compensation committee to review.  The speakers reviewed the tables required in the proxy statement. 

In preparing Form 10-Qs, the speakers gave the tip that companies should ensure that the guidance and other information in press releases are consistent with what is disclosed in the Form 10-Qs.
