This attorney position will primarily focus on supporting Microsoft's new Health Solutions Group (HSG) within CRSO, but will also provide legal support to other business and/or research groups in CRSO. This position will be based in
Responsibilities:
Provide proactive legal and business counseling to the Health Solutions Group (HSG) on a broad range of topics, including antitrust, HIPAA and other regulatory compliance, general commercial law, contract interpretation, intellectual property and licensing, and other complex legal issues that may impact HSG offerings.
Drafting, negotiating, advising and closing on numerous transactional deals involved with launching new Microsoft businesses or platforms that fit within the HSG mission.
Advise clients on how Microsoft policies and evolving laws and regulations may affect the business (especially regulations related to the health care industry, including, but not limited to HIPAA, FDA regulations, licensure, insurance, etc.).
Consult and coordinate with other members of LCA, the Corporate Privacy Group, and other privacy and security teams to i) ensure consistency for HSG privacy, security and data protection policies, and ii) contribute to company-wide policies, standards and business procedures designed to foster compliance with privacy,
security and data protection requirements and best practices.
Assist in developing key business strategies and distribution models for various businesses within CRSO (many being implemented for the first time by Microsoft). Provide proactive legal and business counseling to additional business clients in the Microsoft Research group, which is engaged in cutting edge research, university relations and collaboration, and product development and incubation activities.
Work on selected local and international IP projects and with selected research groups. Meet with researchers, research area managers and business clients on a regular basis to conduct legal reviews of research and business activities.
Draft and negotiate agreements for Microsoft Research, such as enterprise software license agreements, object and source code license agreements, collaborative research agreements, independent contractor agreements, consulting agreements, software development agreements, university funding grants, and research alliance
agreements, etc.
Work closely with the patent teams responsible for developing the patent portfolio around client groups' emerging technologies.
Conduct intellectual property due diligence in view of facilitating technology transfer from MSR to the various product groups at Microsoft, and/or the acquisition of technologies or companies. Coordinate extensively with inter-department legal resources for issues specific to patents, copyrights, trademarks, human resources and other applicable practice groups.
Establish processes, forms and procedures for various new or updated projects and programs.
Deliver training to clients and colleagues in a variety of mediums, including presentations.
Required qualifications:
J.D. from an accredited law school.
No less than 7 years' top law firm and/or relevant in-house transactional experience; software licensing focus and competition law and/or health-care familiarity are strong pluses.
Minimum three years professional experience in support of complex regulatory and compliance issues;
Detail oriented with excellent organizational skills.
Outstanding analytical and oral and written communication skills.
Ability to understand a variety of software and other technologies and to apply legal principles to new and evolving situations.
Demonstrated ability to work efficiently, meet demanding deadlines in fast-paced environment, prioritize workflow and adjust to frequent workload fluctuations.
Strong results orientation and customer focus.
Ability to work as a productive team member with attorneys, paralegals, auditors, developers, product managers, and business contacts.
Demonstrated ability to work independently with limited supervision, interfacing with a variety of personalities across a large number of diverse internal groups, teams, divisions, and cultures.
Working knowledge of Microsoft products and services, and ability to proficiently use Word and Outlook.
