California: Commencing October 2, 2006, the California Secretary of State expanded its pre-clearance and expedited filing services to include all business entity documents filed pursuant to the California Corporations Code, Financial Code, or Insurance Code. The pre-clearance and expedited filing services are available to non-corporate entities such as LLCs, LPs, and LLPs, and banks and insurance companies that make filings with the Secretary of State’s office. The fees, classes of pre-clearance and expedited services have not changed. There are four classes of pre-clearance service. Class I has a 24 hour response time for $500 fee. Class II has a 72 hour response time for $400 fee. Class III has a 5 business day response time for $300 fee. Class IV has a 10 business day response time for $250 fee. There are two classes of expedited service. Class A has a 4 hour response time for a $500 fee. Class B has a 24 hour response time for $350 fee.
Connecticut: On October 1, 2006, Partnership Act amended to clarify when a partnership formed for a definite term or particular undertaking must dissolve and wind up.
Maryland: On October 1, 2006, the law governing the payment of workers’ compensation benefits from the state Uninsured Employer’s Fund amended to provide that an officer of a corporation with general management responsibility and a member of a LLC with general management responsibility may be liable for the payment of workers’ compensation if the corporation’s or LLC’s assets are not sufficient to satisfy the award and the officer or member knowingly failed to secure workers’ compensation insurance.
Ohio: On October 12, 2006, domestic corporations, LLCs, LPs and partnerships may convert to other types of domestic or foreign entities. Other types of domestic or foreign entities may convert to domestic corporations, LLCs, LPs and partnerships.
