On October 13, 2006, Ginny Coles, spoke to attorneys in Redwood City, CA on the in house counsel’s role in Management’s Discussion and Analysis of Financial Condition and Results of Operations (MD & A).

The MD & A is included in Form 10Ks, Form 10Qs, and registration statements filed with the Securities and Exchange Commission (SEC). In preparing the MD & A, the attorney should review Regulation S-K standards, which are discussed in SEC Releases.

The main objectives of the MD &A are: provide an explanation of the company’s financial statements that give investors an opportunity to look at the company through the eyes of management, enhance financial disclosures to analyze financial information, and provide information in such a manner to allow investors to ascertain the likelihood of past performance as indicative of future performance.
