The Federal Trade Commission (FTC) action against Hologic, Inc. (Hologic) demonstrates that there continues to be scrutiny on non-reportable transactions after they are consummated.

On September 29, 2005, Hologic paid $32 million to acquire intellectual property related to MammoTest, a prone stereotactic breast biopsy system from Fischer Imaging Corp. Because the value of the transaction was under the transaction threshold test for antitrust review, the parties closed the transaction without undergoing any antitrust review.

On July 7, 2006, the FTC filed an administrative complaint against the transaction and announced that it reached a settlement with Hologic in which the company agreed to divest the acquired assets to Siemens AG.
Hologic is a reminder that the FTC continues to challenge anticompetitive transactions, even when small, if the acquirer gains a monopoly. In Hologic, the geographic market was the United States, product markets were defined narrowly, and entry barriers were characterized as high.
