
Arizona: On September 21, 2006 House Bill 2327 eliminates the need for a corporation to issue a paper certificate to a holder of uncertificated shares who requests one.
California: There appears to be unofficial communications that look like they are from the state of California soliciting business to prepare minutes or to change registered or resident agent. These forms may contain disclaimers indicating that they are not from government agencies, but the disclaimers are not always in large print or obvious. People should not confuse these forms with the "Annual Statement of Information" received directly from the Secretary of State of California. To avoid costly mistakes, carefully reviewing any documents that received.
Montana: Commencing September 1, 2006, the Montana Secretary of State will offer a one hour expedited service for all business filings for a service fee of $100. The one hour period starts from the moment the document is stamped in the office of the Secretary of State. Orders received after 4 p.m. will not be processed until the next business day.
New York: In July 2006, Senate Bill 8416 amends the Not-for-Profit Corporation Law.
