
Michigan – Effective March 9, 2006, House Bill 5321 permitted a corporation to provide one copy of a report, notice, statement or communication to shareholders who do not notify the corporation of their objection and who share a common address.
New York – Senate Bill 6459 to extend the statutory authorization, was submitted to the Governor on March 30, 2006. Statutory authorization for same day, 2-hour and most 24-hour expedited service expired March 31, 2006.
Pennsylvania – Expedited Service for Good Standing Certificates and Document Ordering suspended. The suspension is due to a new computer system and a general backlog in work at the Department of State. The suspension does not apply to UCC copies, corporate filings, or UCC filings.
Utah – Effective May 1, 2006, House Bill 127 will allow limited liability companies to establish series. If certain requirements are met, a series’ debts and liabilities are enforceable against the assets of that series.
Wisconsin – Effective March 25, 2006, Senate Bill 496 repealed the 30 day time limit for limited liability companies to apply for reinstatement after being administratively dissolved.
